These Terms and Conditions of Service (hereinafter referred to as “T&C”) regulate the terms, conditions, rights, and obligations of the User and OneVN Super App Joint Stock Company when the User uses the Services/Products of OneVN Super App Joint Stock Company.

The Privacy Policy is an integral part of these T&C.

By using OneVN’s Services/Products, the User is deemed to have agreed to comply with the provisions of the law, the content of the T&C, and other regulations of OneVN.

1. DEFINITIONS

1.1. OneVN: is OneVN Super App Joint Stock Company, with the enterprise registration certificate number 0111157038.

1.2. OneVN Application: is the mobile-based application developed and operated by OneVN to provide Products/Services to Users, including data services, e-commerce services, and other products/services provided by OneVN in accordance with the law.

1.3. OneVN Account: is the electronic account created and managed by the User to access the OneVN Application and use the Products/Services, including Products/Services provided by OneVN and/or products/services provided by OneVN’s partners.

1.4. User: refers to individuals or organizations who have the need to use OneVN’s Products/Services, including Seller or Buyer.

1.5. Seller: refers to merchants, organizations, or individuals who have signed a cooperation contract with OneVN and use OneVN’s platform to serve their activities of selling goods/providing services.

1.6. Buyer: refers to individuals or organizations who have the need to purchase goods or services from OneVN or from Sellers.

1.7. Product/Service: refers to data services, e-commerce services, and other products/services provided by OneVN in accordance with the law.

2. GENERAL RULES

2.1. Conditions of Use:

(i) For Users who are individuals: must have full civil act capacity and not be restricted by any legal regulations related to the use of the Products/Services. In case a User does not have full civil act capacity, the User needs to obtain support or approval from a parent or legal guardian.

(ii) For Users who are organizations: must be legally established and operating in accordance with the laws of Vietnam, and not be restricted by any legal regulations related to the use of the Products/Services.

2.2. By accessing or using the Products/Services, the User confirms having read, understood, and agreed to comply with the entire content of the T&C, including any changes or supplements (if any). The User agrees that the use of the Products/Services will comply with and be governed and bound by the regulations in these T&C.

2.3. The User commits to agree with all methods, requirements, and policies stated in the T&C and will correctly follow the procedures for using the Products/Services on the OneVN Application, including any amendments or supplements (if any).

2.4. Responsibility to Check and Update: The User is responsible for regularly checking the T&C to ensure they are fully updated on all changes or amendments. The continued use of the Products/Services is considered as the User’s acceptance of all the amended terms in the T&C.

2.5. The User commits to fully comply with the usage instructions and procedures set forth by OneVN and any amendments or supplements (if any) to those instructions or procedures.

2.6. To the maximum extent permitted by law, OneVN makes no commitments and will not be liable to the User for products and services not provided by OneVN.

2.7. These T&C shall apply to all updates, improvements, upgrades, reductions, modifications, or variations of the OneVN application.

3. RIGHTS AND OBLIGATIONS OF ONEVN

3.1. Rights of OneVN

1. OneVN shall have the right to stipulate the types of fees and fees for Products/Services within the scope permitted by law;
2. OneVN shall have the right to have the right to request the User to provide necessary information when registering for and using the Products/Services;
3. OneVN shall have the right to refuse/terminate/suspend the provision of Products/Services to the User in cases stipulated in these T&C and by law, including but not limited to the following cases:

(i) The User’s legal documents are no longer valid; or

(ii) When OneVN notices and/or suspects that the User violates OneVN’s regulations during the use of the Products/Services; or

(iii) The User uploads, posts, transmits, or otherwise makes public any content that is unlawful, harmful, threatening, abusive, harassing, alarming, distressing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; or

(iv) The User’s OneVN Account has been inactive for a continuous period of 90 (ninety) days or more; or

(v) The User is late or fails to pay the fees for the Products/Services; or

(vi) Upon a written request from a competent state authority; or

(vii) The User is an organization that has suspended its operations, been dissolved, or gone bankrupt; or

(viii) The User violates the current laws of Vietnam, has been convicted, or is serving a sentence;

(ix) When the User shows signs of fraud/deception or other illegal acts.

1. OneVN shall have the right to develop policies applicable to each subject at any times.
2. Other rights as stipulated in these T&C and by law.

3.2. Obligations of OneVN

1. OneVN shall comply with the regulations on providing Products/Services to the User according to these T&C and relevant legal provisions.
2. OneVN shall ensure the Products/Services are provided as stably and securely as possible within its capacity.
3. OneVN shall resolve inquiries and complaints from the User related to the use of the Products/Services as stipulated in these T&C.
4. Other obligations as stipulated in these T&C and by law.

4. RIGHTS AND OBLIGATIONS OF THE USER

4.1. Rights of the User

1. The User shall have the right to use the OneVN Account and the Products/Services in accordance with the provisions of these T&C, OneVN’s regulations, and the law.
2. The User shall have the right to provide feedback on the Products/Services during their operation. Recommendations can be sent directly by letter, fax, or email to OneVN.
3. The User shall have the right to request investigation, raise questions, and make complaints about errors or violations (if any) arising during the use of the Products/Services under these T&C.
4. Other rights as stipulated in these T&C and relevant laws or by prior written agreement between the User and OneVN, provided they are not contrary to current law.

4.2. Obligations of the User

1. The User shall provide, update, supplement, and amend fully, accurately, and promptly all necessary documents, information, and data as required by OneVN from time to time, upon registering for a OneVN Account and during the use of the Products/Services. The User declares and warrants that the documents, information, and data provided to OneVN as stipulated above are true and accurate, and the User is responsible for such provided documents, information, and data.
2. The User shall promptly notify OneVN of any changes to the information registered with OneVN or other information as required by OneVN.
3. The user shall be responsible for damages caused by their own fault when using the Products/Services.
4. The User shall not to use the Products/Services for any illegal purposes;
5. Other responsibilities as stipulated in the Agreement, legal regulations, and other agreements between OneVN and the User.

5. INTELLECTUAL PROPERTY RIGHTS

All trademarks, logos, service marks, and all other intellectual property rights of any kind (whether registered or unregistered), and all informational content, designs, documents, graphics, software, images, video, music, sound, software compilations, source code, and underlying software related to OneVN are the property of OneVN and are protected by the Intellectual Property Law of Vietnam and relevant international conventions concerning intellectual property rights.

Any act of copying, quoting, modifying, distributing, publishing, circulating, etc., for commercial or non-commercial purposes, in any form without the prior written consent of OneVN constitutes an infringement of OneVN’s rights. OneVN has the right to request the User to cease the infringing act and to demand compensation for damages (if any).

6. APPLICABLE LAW AND DISPUTE RESOLUTION

These T&C shall be governed by and construed in accordance with the laws of Vietnam. Any dispute, controversy, claim, or disagreement of any kind whatsoever arising out of or relating to these T&C shall be settled by a court in Vietnam.

7. AMENDMENTS

OneVN reserves the right to update, change, amend, or supplement these T&C at any time by one of the following methods:

• posting the amended T&C on the OneVN Application, OneVN website; or
• sending an email to the email address that the User has provided to OneVN.

The User’s continued use of the Products/Services after the amendment of the T&C signifies the User’s agreement to all of OneVN’s changes, amendments, and supplements.

All amendments will take effect immediately after being published.

8. LIMITATION AND EXCLUSION OF LIABILITY

8.1. Products/services provided by the Seller are not considered Products/Services of OneVN, and OneVN is not a party to the transaction of purchasing, selling, or providing these products/services between the Buyer and that Seller.

8.2. The Seller bears full responsibility related to the provision of the Seller’s products/services to the Buyer, including but not limited to resolving complaints and disputes related to the products/services.

8.3. OneVN makes no representations, warranties, or commitments regarding the access and use of the Seller’s products/services.

8.4. To the extent possible and as required by law, OneVN will assist the Buyer in forwarding requests and complaints related to the Seller’s products/services to the Seller for resolution as regulated.

8.5. OneVN shall not be liable for any failure or delay in performing its obligations under these T&C due to force majeure events, including, but not limited to, natural disasters, storms, thunderstorms, epidemics, government restrictions, strikes, wars, Internet transmission failures or telecommunication network failures, or other force majeure events as stipulated by law or recognized by OneVN and the User.

8.6. In the event that OneVN is liable for the User’s losses or damages, the User agrees that OneVN’s entire liability shall be limited to the value of the actual and direct damages incurred by the User.

10. OTHER PROVISIONS

10.1. This T&C is effective from ../../….

10.2. Except for cases stipulated in these T&C, the liability for damages/penalties for breach of each party shall be applied in accordance with the provisions of the law.

10.3. The failure of OneVN to exercise or enforce any right or remedy available to it under these T&C or by law shall not be deemed a waiver or limitation of such right or remedy, and OneVN reserves the right to exercise such right or remedy at any time it deems appropriate.

10.4. In the event that any provision of these T&C is determined to be illegal or otherwise unenforceable, OneVN shall have the full right to (a) amend that provision, or (b) delete that provision from these T&C. If any provision of these T&C is determined to be illegal or unenforceable, such determination shall not affect the remaining provisions of these T&C, and these T&C shall remain in full force and effect.
